Our client is an innovative and high growth name within the data center/ real estate industry. They are a fast-paced organisation, with ambitious growth targets and a view to going public They are looking to appoint a General Counsel in an interesting and newly created in-house role.Reporting to the CEO, the General Counsel will work across a range of areas, including legal advisory and projects, company secretarial, compliance and risk. The successful candidate will be working closely with the executive team supporting the business' growth plans and strategic initiatives and will also be managing a team of four existing legal counsels.
You should have more than 18 years of vast experience in
- US securities/capital markets (familiarity with SEC rules, NASDAQ/NYSE listing rules) – MANDATORY TO HAVE.
- M&A
- Compliance (AML, KYC, FCPA)
The role :
- Assume responsibility for ensuring company compliance with applicable securities laws and regulations and advice on reporting and compliance requirements under US securities laws and/or regulations (including SEC rules and/or regulations, NASDAQ/NYSE listing rules and/or SOX requirements).
- Working with key management , advising on contractual requirements for sales and purchasing.
- Strong involvement in M&A, JV, restructurings and divestment transactions, including associated financing and security, is expected. This includes conducting due diligence, drafting and reviewing agreements, structuring and negotiating transactions.
- Assist in corporate secretarial matters of the company
