Responsibilities
Provide general (corporate) commercial legal support and advice to senior management and the various business units in Asia Pacific (including Japan, Singapore, Philippines, Australia, Vietnam, Taiwan and Korea).
Draft, review and negotiate and provide legal support on documentation for the origination and development of renewable energy projects including NDAs, term sheets, acquisition agreements, power purchase agreements, development services agreements, EPC contacts, O&M agreements and related ancillary documents
Advise and provide legal support on project financing transactions within the Asia Pacific region, including the negotiation of loan and security documentation with financiers and related ancillary documents
Assist with the management of ongoing project development activities with local partners and service providers
Work closely and (cost) effectively with internal and external stakeholders in order to manage transactions from start to finish.
Assess and address legal and contractual risks and helping to manage and mitigate identified risks.
Advise on the company’s rights and responsibilities under existing agreements and arrangements.
Manage, update, maintain and implement company policies, procedures and standards related to legal and compliance matters;
Requirements:
A degree in law from a reputable international university
Qualification as a legal practitioner in a common law jurisdiction (or civil law jurisdiction with the ability to convert to a common law qualification) with a minimum of ten years’ post-qualification experience (PQE)
Training and experience working in an internationally recognised law firm and currently working either as an in-house counsel at a recognised energy or infrastructure company (preferably in the renewable energy sector) or a senior associate / partner specialising in energy project development or M&A at a top-ranked law firm, ideally with client secondment experience
Experience in reviewing power (renewables) and infrastructure project development and project financing related documents
Commercially savvy, understanding of the business development process and commercial negotiation
Meticulous and good organisation skills
Good interpersonal and communications skills
Self-motivated and able to work well independently as well as in a team
