Job description

Objective:

The key objective is to contribute to the company’s growth with high-quality and solution-focused advice to the company’s business operations as well as hands-on contract management in renewable energy in Thailand as well as regionally. The lawyer will be based in Bangkok, Thailand but will be required to travel within and outside Thailand from time to time.

Responsibilities:

  • General Transaction Support (preferred Projects and Infrastructure/construction background)

  • Support in country team, management team and broader investor legal team on all country matters in the negotiation and delivery of investments, including:

  • Assisting with drafting and reviewing all project documentation and for corporate industrial consumers (including power purchase agreements, engineering, procurement and construction contracts, O&M contracts) in English or Thai as required

  • Advising on regulations in the Thai energy sector, electricity act and related regulations

  • Accompanying business development and projects leads to meetings with counter parties and customers, ability to negotiate and draft during the meeting and hold their own in front of senior legal and business professionals

  • General transaction support - assisting with legal due diligence, legal structuring and documentation, signing and closing processes (including preparing, reviewing and collating conditions precedent documents), assistance with land issues and other project legal issues as they arise

  • Liaising and managing relationships with local governmental and regulatory authorities and bodies

  • Assist with finance, corporate M&A documentation as required from time to time

Requirements:

  • Bachelor’s degree in law (overseas master’s degree preferred but not essential)

  • Excellent English and preferably Thai language skills

  • At least 5 years of working experience in law firms or in-house, preferably in infrastructure or energy sector

  • Excellent interpersonal, communication, management and drafting skills with a high level of integrity and confidentiality

  • Advanced drafting skills (a drafting test will be administered)

  • Cross country working experience in Southeast Asia and beyond is a plus

  • Passion for renewable energy and an entrepreneurial mindset are greatly appreciated
