About Our Client

Our client is a US-listed, multi-billion-dollar global technology company operating in the semiconductor sector, with thousands of employees worldwide and operations across multiple APAC jurisdictions.

The Role

Our client is looking for an experienced APAC Legal Operations & Corporate Governance Manager to join its Asia-Pacific Legal team. This is a newly scoped, hybrid role combining corporate secretarial and governance oversight, multi-jurisdiction entity management, legal operations and outside counsel administration, and cross-border corporate project support. The role is designed to centralise governance and legal-operations activity currently distributed across the region, reduce the administrative burden on in-house counsel, and improve the scalability and efficiency of the regional Legal function as the business grows.

Key Responsibilities

– Manage corporate secretarial and governance activities across the group’s APAC entities, including board and shareholder resolutions, statutory filings, and maintenance of corporate records.
– Oversee entity management across multiple APAC jurisdictions, coordinating with local corporate services providers (CSPs) and ensuring timely compliance with local company law and regulatory requirements.
– Own legal operations processes for the APAC Legal team, including matter management, workflow tools, and reporting on legal department activity and performance.
– Administer outside counsel relationships across the region, including engagement processes, budget tracking, invoice review, and spend reporting.
– Manage contract execution and document management processes, including signature workflows, e-signature platforms, and centralised contract repositories.
– Support cross-border restructuring, integration and corporate projects, coordinating input from legal, tax, finance and external advisers across jurisdictions.
– Act as the primary point of coordination between the APAC Legal team, corporate services providers, and outside counsel, freeing in-house counsel to focus on substantive legal advisory work.
– Identify and implement process improvements to increase the efficiency and scalability of governance and legal operations activity as the region grows.

Candidate Profile

– At least 5 years of relevant experience in corporate secretarial/governance, entity management, or legal operations, gained in-house, at a corporate services provider, within a Big Four corporate services practice, or in private practice with a strong company secretarial component.
– Demonstrated experience managing entities and governance matters across multiple APAC jurisdictions.
– Experience working with or managing corporate services providers (CSPs) and coordinating outside counsel relationships and spend.
– Exposure to legal operations tools, matter management systems, or contract lifecycle management platforms is advantageous.
– Prior involvement in cross-border restructuring, M&A integration, or corporate reorganisation projects is highly valued.
– Strong stakeholder management skills, with the ability to work across legal, finance, tax and business teams in a matrixed multinational environment.
– Comfortable operating with a high degree of autonomy in a role that is being newly defined.
– Professional working proficiency in English required; additional regional languages (e.g. Mandarin, Japanese) advantageous given the scope of coverage.
